本研究では，多角化が生産性に与える影響について，近年自由化により多角化が進展した米国の電力産業を対象に検証を行う．さらに，企業の財務的制約の強弱が多角化を通じて生産性に及ぼす影響を分析することで，先行研究の拡張を試みる．具体的には，分析対象として，米国の主要電気事業者124社をとりあげ，各社の1990年から2003年について年次データを取得し，これに基づき，持ち株会社の多角化が事業会社の生産性にどのような影響を及ぼすのかを分析した．さらに，持ち株会社の財務的な制約の強弱が，直接および多角化を通じて，生産性にどのような影響を及ぼすのかについても分析した．その結果，持ち株会社の多角化は，計測期間平均で見ると事業会社の生産性を低下させているが，時間的な変化を見ると，生産性を上昇させるような影響を及ぼしていることが示された．また，財務的制約については，生産性に対し負の影響を及ぼすことが示された．一方で，企業ごとの財務的制約の違いに基づく多角化の影響について分析を拡張した場合には，財務的制約が緩やかな条件下での多角化は生産性を低下させるような影響を及ぼすことが示され，潤沢な内部資金が存在する場合，経営者は非効率な投資を行なう可能性があるとするJensen（1986）のエージェンシー問題に関する議論を裏付ける結果とも考えられる．

概要 （英文）

This paper examines the impacts of business diversification of parent companies in terms of productivity of operating companies. For this purpose, this study applies an econometric analysis to the data of U.S. electric power utilities, not been analyzed in previous studies, during the period of deregulation. The author extends previous studies by the two aspects. First, results of previous studies are reviewed using data regarding electric power utilities. Second, this study examines effects of the financial constraint measured by such as the cashflow and dividents on productivity. In particular, the author investigates how higher or lower financial constraint of parent companies influences productivity of operating companies through the effects of the diversification. The empirical results indicate that the diversification negatively affects productivity at a given point in time during the observed period, while dynamically it positively influences its productivity. In addition, the results imply that the managerial decision-making regarding the diversification is differently motivated under different conditions of financial constraints. The empirical results support the view that the financial constraint is an important factor for corporate business diversification.
